DEFINITIONS
Course: A SatProf training course or exam, including but not limited to GVT Training and Space Business Qualified.
Student: A person using or evaluating a Course.
Training membership (TM): A fixed-period subscription that gives access to certain Courses for specific time period.
Constituent Course: An online Course which is included in a specific TM.
Learning System: The online learning management system, administered by SatProf, which delivers Courses to students.
Bulk Order: An order for fixed number of training seats, potentially at a discounted price per seat.
Site License: An arrangement allowing a Customer organization to enroll an unspecified number of qualified staff for a flat annual fee.
Seat: A license for one person to use a TM or other defined Courses.
Registration: Creation of an account for an individual in the Learning System. Registrations are perpetual.
Enrollment: Placement of a registered student into a specific Course.
Enrollment Key: A code, typically in the form of a URL, which grants the user registration and/or enrollment into a specific Course or TM when entered into the Learning System.
Coupon Code: A code that reduces the price of Course or TM in the shopping cart for purchase.
IP: Intellectual Property
GENERAL TERMS OF SERVICE
By purchasing any SatProf training product for yourself or for use by others, or by registering as a student or enrolling in any SatProf-administered course or exam, you agree to the following General Terms of Service.
1. Individual accounts.
- Each student is assigned their own individual learning account. You may not share your login with any other student or use another student's account.
- A course enrollment may be reassigned to another student upon request only if the original student has not begun work in the course.
- TMs may not be transferred.
2. Training Memberships.
- If you are enrolled in a TM, you will have access to all the courses included in that TM until the TM expires (typically one year after enrollment in the TM). If your TM is unexpired, you are entitled to be enrolled in any of its Constituent Courses. You can self-enroll in most Constituent Courses using the Learning System and begin immediately.
- For some Constituent Courses (such as certification exams), you will need to email a request to SatProf Support and allow up to two business days for processing.
- Note that not all Courses offered by SatProf are included in TMs.
- When your TM expires, you will lose access to all of its Constituent Courses. No-cost extensions will not be granted. To extend access to your Courses, you must purchase an extension for the TM if offered, or a new TM for the subsequent time period (unless you are covered by an active Site License).
- Note that TMs do not include Hands On Skills Tests or any other classroom activities.
- SatProf makes its best effort to maintain the Constituent Courses in the TMs, but reserves the right to remove courses, modify courses, and add courses from time to time at its sole discretion.
3. Payments.
- All training-related payments must be remitted to SatProf, Inc. Payment option details are listed on satprof.com. Do not remit training payments to GSOA, SSPI, or other associated partners.
- SatProf reserves the right to suspend access to all students who have not made payment.
4. Additional approvals.
- Certain courses may require additional approval by SatProf or entities associated with SatProf; in those cases, you may be required to complete an application form. If your application is approved, and you have made arrangements for payment of the course tuition or the course is a Constituent Course in an unexpired TM, you will then be enrolled.
- Applications may be denied at the sole discretion of SatProf or the SatProf-associated entity. If it is denied, you will not be enrolled in that course, even if the course is a Constituent Course in an unexpired TM.
5. Course-specific terms and conditions.
- Some courses have special Terms and Conditions which will not be presented until you open the course the first time. You must agree to these before you may continue into the course.
6. Bulk orders.
- A customer may purchase a block of TMs for use by many individuals. A volume discount may be offered by SatProf if the order exceeds certain thresholds.
- A quantity discount, if any, will be applied based solely on the quantity in the associated order. The quantities in past orders, or projected future orders, will not count towards the offered quantity discount for the current order.
- A bulk order seat assigned to a student may be transferred to a different student only if the first student has not started on any of the Constituent Courses in the TM covered by their seat, or any other Course covered by their seat. SatProf can provide, on request, student progress reports.
- The customer may provide the identities of some, or all, of the students to be registered and enrolled at the time the bulk order is accepted by SatProf. SatProf will register and enroll all students whose identities are provided (provided they meet SatProf export restrictions). The time period for those students' TMs will begin when they are enrolled in the TM.
- For the remainder (i.e. students who have not been identified by the Customer to SatProf), SatProf will provide Enrollment Keys (EKs) or Coupon Codes. The customer may assign those keys or codes as and when desired to individual students. The time period for each student's TMs will begin when he/she uses their assigned code to activate their TM.
7. Site licenses.
- A Site License (SL) entitles a Customer to enroll any student who is a bona-fide Eligible Staff Member into a TM at any time, as long as the SL is active.
- An Eligible Staff Member is defined as a full-time employee of the Customer's organization (or sub-organization, if defined in the order). Contractors and consultants are not considered Eligible Staff Members for the purpose of a Site License, unless written arrangements are made with SatProf.
- A flat fee for a Site License will be proposed by SatProf based on the expected number and profiles of the Customer's Eligible Staff Member and other factors determined solely by SatProf.
- The Site License is active for a specific time period, typically one year, and may be renewed.
- While the Site License is active, SatProf will register and enroll any Eligible Staff Member upon request by the Customer's designated POC.
- At the end of each billing period, SatProf may review the status of the Customer's organization and make reasonable adjustments to the fee for renewal of the Site License fee. Upon request, the entity will provide SatProf with an attestation that the number of Eligible Staff Members is reasonably accurate and has not been understated for the purpose of reducing the site license fee.
- If the Site License becomes inactive because of non-renewal or non-payment, SatProf may immediately suspend access to all students covered by the Site License.
- The Customer may not resell Sitel License seats.
8. Andrew Werth Scholarship Program.
- SatProf offers a one-for-one contribution of training seats to qualified developing country students, in the form of a 50% discount on TMs.
- Not all Courses are covered by this program.
- Additional terms and conditions for this program are listed separately on satprof.com.
9. Expiration of non-TM Courses.
- Access to Courses not included in a TM will typically expire 90 days after enrollment.
- Certain courses may have different expiration periods, or no expiration.
- For non-TM courses, SatProf will grant one 30-day extension at no charge upon request. TM's will still require the purchase of an extension or renewal.
- Additional extensions may be granted under extenuating circumstances, but SatProf’s decision on extension requests is final.
10. Recertifications.
- GVF Training, SBQ, and other certifications may have expiration periods and processes for recertification, as defined in the information about each program posted on satprof.com.
- To recertify, you must pass the current version of the associated online certification exam.
- If your TM is unexpired or your Site License is current, you may take any required online recertification exam, and any new versions of previously-enrolled prerequisite courses, at no additional charge. Note that you may be required to re-take prerequisite courses before you can re-take the certification exam.
- If you previously passed the Hands On Skills test, you do not need to repeat it when you re-take your certification exam.
11. Profile and personal information.
- SatProf will not sell or knowingly distribute your personal information, except that:
- SatProf may display your contact details and certification status on the SatProf public certification database report, unless you use the Edit My Profile function to restrict if and how you will be listed; and
- SatProf may share your contact details and certification status with the organization who funded your tuition or subscription fees.
- You agree to keep your contact information accurate and up to date using the Edit My Profile function, including indicating if you are willing to assist in a disaster.
- First-name, last-name, username, and email may only be modified by SatProf. If you wish to change any of these, contact SatProf Support.
- Your certificates will show your name as
- first-name last-name
- If you wish to modify the way your name is shown on certificates, you must contact SatProf Support and specify how you want your first-name and last-name to be shown.
12. Honor policy.
As a SatProf student, you agree that:
- You will register for only one account
- You will not share your account or login details with any other person.
- Your answers to quizzes, exams, skills tests, and any other assessments will be your own work.
- You will not make solutions to quizzes, exams, skills tests, and any other assessments available to anyone else. This includes both solutions written by you and any solutions provided by others.
- You will not engage in any activities that will dishonestly improve your results or dishonestly improve or hurt the results of others.
- If SatProf determines that in its sole discretion that you violated the Honor Policy, SatProf may cancel access to the Learning System and delete all your transcripts and certificates, and no refund will be issued.
13. Copyright and intellectual property.
- You understand that SatProf and/or the original Intellectual Property (IP) owner hold all copyright to the learning materials.
- You may not make any copies of any materials, except that you may download and print copies of provided reference materials strictly for your own use, provided that you do not distribute them to any other person, even within the same organization.
- You agree not to reverse engineer, disassemble, or imitate the function of any scripts, simulators, animations, texts, or other learning materials.
14. Certification requirements.
You understand that you must meet all stated requirements in order to receive a certification. These may include viewing pages, passing tests, and passing simulator-based skills tests. SatProf may grant waivers or retakes at its sole discretion.
15. Export restrictions.
- You understand that SatProf training services are covered by U.S. export control laws.
- You agree not to use the training, or the knowledge or skills acquired from the training, in any country subject to U.S. sanctions or embargoes (unless these activities are lawfully excepted) or in any other way use the training in a way that contravenes U.S. law.

16. Administration and assignment of seats.
You agree not to assign any SatProf training account to any student who is, or can be reasonably anticipated to be, unable or unwilling to comply with any of these General Terms of Service, including but not limited to Export Restrictions.
